Armadillo Contractors Ltd Construction Services Agreement
These Terms and Conditions of Contract (“Terms”) outline the rights and responsibilities of the Client (“you”) and Armadillo Contractors Ltd (“we” or “us”). These Terms apply to the provision of goods and services by Armadillo Contractors Ltd, and they are in compliance with English laws.
1. Services
1.1 Armadillo Contractors Ltd provides a range of construction services, collectively referred to as “Services.” These Services include but are not limited to construction, general building, groundworks, roofing, and related services.
1.2 Our Services cover various aspects of construction projects, from planning and design to execution and completion.
1.3 We commit to performing the Services with reasonable care and skill, adhering to the provided specifications and relevant laws and safety regulations.
1.4 We reserve the right to make necessary changes to the Services to comply with applicable laws and safety requirements, with prior notice to the Client.
2. Application and Agreement
2.1 These Terms apply to the provision of our Services, as detailed in our Quotation of Services, to the Client.
2.2 Acceptance of our Quotation of Services or the commencement of our Services, whichever occurs earlier, implies your acceptance of these Terms, constituting the entire agreement between us.
2.3 These Terms supersede any other terms or conditions, whether implied by trade, custom, practice, or course of dealing.
3. Communications
3.1 Primary communication will be through mobile phone or email.
3.2 Quotations and invoices will be delivered in person, via email, or through other agreed-upon means.
4. Quotations
4.1 We provide a written quotation detailing essential information about the works, duration, and completion, subject to negotiation.
4.2 Requests for clarification can be addressed through mobile phone communication or email.
4.3 Acceptance of our quotation, whether verbal or written, establishes a binding contract between us.
4.4 Quotations are valid for a specified period, and work commences upon acceptance, with a binding contract taking effect.
4.5 Some projects may require an advance deposit and staged payments, as agreed upon beforehand.
4.6 Amendments to the Services must be communicated promptly, with additional costs added to the Fees.
4.7 Either party may cancel an order before acceptance or rejection of the quotation.
4.8 Last-minute variations during the work can be agreed on the day and added to your invoice as necessary.
4.9 Armadillo Contractors Ltd may employ on-site ground-worker operatives or subcontractors as necessary, ensuring full responsibility for contract management.
5.1 The following services are not typically included in our quotations unless arranged and agreed upon in advance, incurring additional costs: Temporary signage, barriers, and road plates. Site security fencing. On-site investigation work. Health, welfare, and secure storage. Housing costs. Temporary access roads and hard-standings. Traffic management. Temporary power and water.
5. Payments
5.1 Deposits must be paid as agreed in advance of work commencement.
5.2 Staged payments must be made promptly, or work progress may be halted until resolved. Interest will be charged at 5% per month or part of a month on overdue accounts.
5.3 Payment methods will be agreed upon before work commencement.
5.4 Invoices will be delivered in a timely manner, serving as your receipt for payment.
5.5 Materials supplied remain our property until fully paid to our satisfaction.
5.6 Payments must be made in full without deduction, except as required by law.
5.7 Failure to make payment within the specified period may result in the suspension of further Services and the cancellation of future orders.
6. Client’s Obligations
6.1 Any delay or failure in providing our Services resulting from your failure to comply with obligations will not make us liable.
6.2 You are responsible for obtaining necessary permits, permissions, consents, licenses, and providing access to relevant information required for our Services.
6.3 You must arrange planning permissions, building control requirements, and any required utility service modifications. You are liable for any associated costs.
6.4 If planning permission or utility service modifications are necessary, we may request proof of arrangements before commencing work.
6.5 You must bear the cost of drain testing expenses unless otherwise arranged.
6.6 Free, unobstructed access is essential for the safe delivery of our equipment, materials, and waste disposal.
7. Risks and Liability
7.1 We are responsible for equipment, materials, and labor provided during the work, but not for factors beyond our control.
7.2 Our liability is limited to the total Fees payable under the Contract.
7.3 We are not liable for indirect, special, or consequential losses.
7.4 We may terminate Services in the event of your material breach of these Terms.
7.5 Nothing in these Terms excludes or limits our liability for death, personal injury, or fraudulent misrepresentation.
8. Disputes and Arbitration
8.1 Disputes shall be resolved through direct communication or arbitration if necessary.
8.2 Arbitration will be conducted in accordance with the rules of a recognised arbitration institution, with the arbitrator’s decision being final and binding.
9. Sub-Contractors:
9.1 When using sub-contractors, we ensure they are appropriately qualified, certified, and covered by the required Liability Insurance.
9.2 We, as the main contractor, are not liable for any losses incurred by sub-contractors.
10. Law and Jurisdiction
10.1 These Terms are governed by and interpreted according to the Law of England.
10.2 All disputes arising under these Terms are subject to the jurisdiction of the courts of England.
10. Amendments
11.1 Armadillo Contractors Ltd may update these Terms as needed by publishing a new version on this website. Please check for updates before conducting business with us.
